1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Aptenox (“we,” “us” or “our”), concerning your access to and use of the BrainSynex platform, website, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
3. User Representations
By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; and (3) you understand that BrainSynex is a clinical tool and any misuse or misrepresentation of medical information limits our liability while impacting your direct care outcomes.
4. UK Consumer Rights
If you are a UK consumer, you benefit from mandatory consumer protection rights under the Consumer Rights Act 2015. Nothing in these Terms limits or excludes your statutory rights, including:
- Services to be performed with reasonable care and skill (Section 49)
- Right to repeat performance if the service is not performed with reasonable care and skill (Section 55)
- Right to a price reduction if the service is not performed in accordance with the contract (Section 56)
5. Right of Withdrawal & Cooling-Off Period
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, as a UK consumer you have a 14-day right of withdrawal (cooling-off period) beginning on the date you enter into your subscription. You may cancel your subscription within this period for a full refund, without giving any reason.
Expiry of the right of withdrawal: If you expressly request that the performance of the service begins during the withdrawal period, you acknowledge that you will lose your right of withdrawal once the service has been fully performed. This applies to therapy sessions and clinical services already delivered.
To exercise your right of withdrawal, notify us at support@brainsynex.com with a clear statement of your decision.
6. Refund Policy
We provide refunds under the following circumstances:
- Within 14-day cooling-off period: Full refund for unused subscription fees
- After cooling-off period: Pro-rata refund for the remainder of the billing period if you choose to cancel
- Service failure: If we are unable to deliver the agreed service, you are entitled to a full or partial refund
- Clinical services already delivered: Therapy sessions or clinical consultations already provided are not refundable
Refund requests should be submitted to support@brainsynex.com. We will process approved refunds within 14 days using the original payment method.
7. Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE.
However, for UK consumers, nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded under applicable law
8. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
Dispute Resolution: If you have a complaint, please contact us first at support@brainsynex.com. We will endeavour to resolve any dispute within 30 days. If we are unable to resolve the matter, you may:
- Refer the matter to Citizens Advice for free guidance
- Use the EU Online Dispute Resolution platform (if based in the EU): ec.europa.eu/consumers/odr
- Seek resolution through the courts of England and Wales
